- Work Outputs: The specific results or materials that the Company is required to deliver, as clearly defined in the Agreement.
- Company Assets: All internal processes, tools, software elements, code bases, frameworks, workflows, design systems, technical structures, and related resources developed or used by the Company, regardless of intellectual property protection status.
- Completed Outputs: The final and approved versions of the Work Outputs delivered to the client once all contractual requirements have been satisfied.
- Project Scope: The defined set of tasks and objectives outlined in the Agreement.
- Services: All marketing, development, consulting, strategy, or related professional activities performed by the Company under the Agreement.
- External Resources: Materials or services obtained from third parties, including licensed software, images, platforms, or tools incorporated into the Project.
Service Execution
The Company will perform the Services in accordance with the agreed scope, schedule, and milestones. All work is carried out using commercially reasonable skill, care, and professional judgment.
Proposals and Scope Validity
Unless otherwise stated, proposals are valid for thirty (30) calendar days from the date of issue. If a proposal is not accepted within this timeframe, the Company reserves the right to revise pricing, scope, or terms before resubmitting it for approval.
Fees and Associated Costs
Service fees are specified in the Agreement. Costs related to third-party services—such as hosting, tools, subscriptions, or licenses—are charged separately unless explicitly included. Any applicable taxes or governmental charges are the responsibility of the client.
Payment Conditions
Invoices must be settled within five (5) days from the invoice date unless an alternative arrangement is confirmed in writing. Payment schedules are typically aligned with project milestones outlined in the Agreement.
Scope Adjustments
Any request to modify the Project Scope must be submitted in written form.
- Minor adjustments with limited impact may be billed based on standard hourly rates.
- Changes that materially affect scope, budget, or timelines require an updated or additional Agreement before further work proceeds.
Project Timelines
Delays caused by late client feedback, approvals, or required materials may result in corresponding extensions to delivery timelines. Events outside the reasonable control of either party do not constitute a breach of contract.
Review and Approval Process
All deliverables are internally reviewed prior to submission. Clients have seven (7) business days to review and provide written feedback. Any identified issues will be addressed within a mutually agreed and reasonable timeframe.
Client Obligations
The client is responsible for ensuring that all provided materials are lawful, accurate, and suitable for use. Unless otherwise agreed, proofreading, validation, and final approval of content remain the client’s responsibility.
Attribution and Public Use
Unless restricted by the Agreement, the Company may reference completed work in portfolios, case studies, or promotional materials. Neither party shall unreasonably prevent factual acknowledgment of collaboration.
Confidentiality
Any information clearly identified as confidential must be protected by both parties and not disclosed to third parties. This obligation does not apply to information that is publicly available or lawfully obtained without confidentiality restrictions.
Independent Contractor Status
The Company operates solely as an independent contractor. Nothing in these Terms or any Agreement creates an employment relationship, partnership, or joint venture between the parties.
Limitation of Liability
Services are provided without warranties beyond those expressly stated. Any liability arising from the Agreement is limited to the total fees paid for the specific Services giving rise to the claim.
Intellectual Property and Usage Rights
Upon full payment, the client is granted a non-exclusive, perpetual right to use the Completed Outputs as agreed. Ownership of underlying Company Assets remains with the Company unless explicitly transferred in writing.
Support and Maintenance
Ongoing support or maintenance services are provided only if explicitly included in the Agreement and are billed separately. Any warranty becomes void if deliverables are modified by parties other than the Company.
Updates to Terms
The Company may revise these Terms and Conditions at any time. The version published on the website applies to current use, and continued access to the website constitutes acceptance of the updated terms.
